Terms of Service

These Terms of Service (the "Terms") govern your access to and use of SourcingHub (the "Service"), operated by the following responsible party ("we", "us", "our"):

By creating an account, purchasing credits or otherwise using the Service, you agree to be bound by these Terms.

1. The Service

SourcingHub is an AI-assisted tool for procurement professionals. It helps draft RFI/RFQ/RFP documents, compare supplier proposals, analyze contracts and generate other procurement artifacts. Outputs are produced by third-party large language models and may contain errors or omissions. You are solely responsible for reviewing and validating any output before relying on it for commercial, legal or financial decisions.

2. Accounts

  • You must be at least 18 years old and have legal capacity to contract.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • You agree to provide accurate registration information and to keep it up to date.
  • We may suspend or terminate accounts that violate these Terms or applicable law.

3. Plans, credits and billing

The Service operates on a credit-based model. Free users receive a recurring monthly allowance. Paid plans (Starter, Pro) and one-time top-ups grant additional credits. Operations consume credits at the rates published on the pricing section of the site.

  • Subscriptions renew automatically at the end of each billing period until cancelled.
  • Unused subscription credits do not roll over and expire at the end of each period.
  • Top-up credits expire on the date shown on your billing page.
  • Prices are shown in U.S. dollars and exclude any applicable taxes (e.g., IVA).
  • Payments are processed by Stripe, Inc. We do not store full payment card data.

4. No refunds

All payments are final and non-refundable. You may cancel a subscription at any time from the billing portal; cancellation stops future renewals but does not trigger a refund for the current period, and you keep access until the end of the paid period. One-time top-up purchases are also non-refundable. This clause does not limit any non-waivable rights you may have under the Ley Federal de Protección al Consumidor when the Service is used as a consumer.

5. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law, regulation or third-party right.
  • Upload content for which you do not have the necessary rights or authorizations.
  • Reverse engineer, scrape, or attempt to extract the underlying models or system prompts.
  • Submit personal data of third parties without a valid legal basis under the LFPDPPP.
  • Generate content that is defamatory, fraudulent, discriminatory or otherwise unlawful.
  • Interfere with, overload, or attempt to bypass usage limits or security mechanisms.

6. Your content

You retain ownership of the files, prompts and other content you submit ("Customer Content"). You grant us a limited, worldwide, non-exclusive, royalty-free license to host, process and transmit Customer Content solely to provide and improve the Service, comply with the law and enforce these Terms. We do not use Customer Content to train foundation models.

7. Outputs and intellectual property

Subject to your compliance with these Terms, you own the outputs the Service generates from your inputs, to the extent permitted by applicable law. Outputs may not be unique; similar prompts from different users may produce similar results. You are responsible for ensuring that your use of outputs complies with applicable law and third-party rights. The Service, including its software, design and trademarks, remains our exclusive property.

8. Third-party services

The Service relies on third-party subprocessors (e.g., Supabase for data hosting, Stripe for payments, Lovable AI Gateway and underlying model providers for inference). Use of those services is also subject to their own terms. A list of subprocessors is available in the Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR PURPOSE.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the Service shall not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim. In no event shall we be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data or business opportunities, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold us harmless from any claim, demand or liability, including reasonable attorneys' fees, arising from (i) your use of the Service, (ii) Customer Content, or (iii) your breach of these Terms or applicable law.

12. Suspension and termination

We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, the law, or pose a risk to other users or the Service. Upon termination, your right to use the Service ceases and we may delete your data after a reasonable retention period, subject to legal obligations.

13. Changes to the Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the new Terms.

14. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the Leyes federales de los Estados Unidos Mexicanos, en particular el Código de Comercio, el Código Civil Federal, la Ley Federal de Protección al Consumidor (LFPC) y la Ley Federal de Protección de Datos Personales en Posesión de los Particulares (LFPDPPP) y su Reglamento. For any controversy arising out of or related to these Terms, the parties expressly submit to the tribunales competentes de la Ciudad de México, renunciando a cualquier otra jurisdicción que por razón de domicilio presente o futuro pudiera corresponder a las partes.
